2. Conclusion of contract
2.1
The client requests an offer via the Trade & Invest Stage shop for a package 1 (EUR 2,900) or package 2 (EUR 4,900) and submits information on the title, brief description, preferred package, preferred date(s) for their planned event via the "Submit request" link. Upon receipt of the request, Deutsche Messe checks that the topic is compatible with the thematic orientation of the Trade & Invest Stage. Deutsche Messe then notifies the client by e-mail to the client’s specified e-mail address that an individual offer with day and time for the planned event has been drawn up for the client in the shop. The offer applies for a limited period.

2.2
By its timely, binding acceptance of the offer in the shop, the client accepts these ordering conditions, and the contract for the booking of package 1 (EUR 2,900) or package 2 (EUR 4,900) is concluded between the client and Deutscher Messe. These ordering conditions apply exclusively. Any terms and conditions of the client that conflict with or deviate from these conditions shall not be recognized unless Deutsche Messe has expressly agreed to them.

Receipt by Deutsche Messe of the client’s acceptance shall be decisive in verifying the client’s compliance with the acceptance period (deadline for return) specified in the offer. Should no binding order have been placed by the deadline for return, the option of the reserved slot(s) shall lapse (subject to the granting of a grace period).

3. Further procedure
Following the binding booking of a package, the client will receive a corresponding form by e-mail which shall be filled out with details of the basic content of the events for publication on the website.

4. Client's obligation to cooperate
The basic information regarding the event (minimum requirement: event title, speaker(s), topics/target groups) shall be submitted with the form by the client by March 20, 2024 at the latest by e-mail to Deutsche Messe AG.
Should the client fail to provide the above information on time, DMAG reserves the right to reallocate the bindingly booked slot after expiry of a granted grace period. The entire invoice amount shall fall due for payment with the service charge invoice even if the program cannot be displayed on the website due to missing content.

5. Responsibility for the presentation content
The client bears sole responsibility for ensuring that all content they provide for display and publication is legally permissible and does not infringe the rights of third parties. The Client undertakes to indemnify Deutsche Messe, including its employees and vicarious agents, against legitimate claims by third parties or authorities that might be asserted against them based on the infringement of intellectual property rights or statutory provisions. Deutsche Messe reserves the right to reject lectures and/or the execution thereof if their content violates the compliance principles of Deutsche Messe AG Compliance.

6. Premature termination of the contract
6.1
Having booked a package, the client has the option of canceling the package in full and free of charge up to and including February 11, 2024. Thereafter, no cancellation may take place and the client remains obligated to pay the participation fee in full.
6.2
Furthermore, Deutsche Messe shall be entitled to terminate the contract if insolvency proceedings have been filed for or opened against the client's assets, or if the client cancels their participation as an exhibitor/co-exhibitor.

7. Billing/payment terms
The participation fee will be billed for by Deutsche Messe as part of the service charge invoice.

8. Liability
The assertion of claims for damages and liability for defects is excluded unless the loss was caused by intent or gross negligence on the part of Deutsche Messe, its representatives or vicarious agents. This exclusion shall not apply if claims are asserted based on injury to life, limb, or health or if obligations are breached, the fulfillment of which is essential for the proper performance of the contract in the first place, and on the fulfillment of which the client may normally rely (essential contractual obligations / cardinal obligations). In the event of a simple negligent breach of cardinal obligations, liability shall be limited to the foreseeable damage typical for such contracts, but no more than the amount of the price for the contractual service.

9. Written form, statute of limitations, place of jurisdiction
All claims of the client against Deutsche Messe shall be made in writing. They shall become statute-barred within 12 months, beginning with the end of the year in which they arose. The place of jurisdiction is Hannover. This contract is subject to the law of the Federal Republic of Germany.
