Purchase order terms for category Video Service
1. Scope of services
The scope of services results from the description above or from the individual offer made on request.
2. Conclusion of agreement
The contractual partner for the Client is exclusively Deutsche Messe AG, which uses a professional film agency, Meat Media GbR from Hannover, to provide this service – hereinafter referred to exclusively as the Service Partner.
NOTE: Requesting one of the aforementioned packages does not yet represent a binding purchase order, but rather is a booking request that will be individually examined for technical and time feasibility by the Service Partner. The date specified by the Client is a non-binding date request until confirmed.
After receiving the booking request, the Service Partner will ask the Client to fill in a form providing key data about the production (e.g. name and contact details of a contact person, timing of the shooting, etc.).
In making the booking request, the Client accepts the ordering conditions for the Film Service category of Deutsche Messe in all regards. The contractual relationship shall be governed exclusively by these ordering conditions. Any terms and conditions of the Client that conflict with or deviate from these conditions shall not be recognized.
The contract for the offered film production service becomes legally effective upon receipt by the Client of the order confirmation sent by the Service Partner on behalf of Deutsche Messe. This order confirmation establishes, among other things, the specific time of performance (shooting time corresponding to the ordered package).
The ordered service will be completed within 2 weeks after the last day of the event. The finished film files will be provided to the Client by the Service Partner in an industry-standard file format/codec (e.g. MP4/H.264) via download link.
The Client shall notify the Service Partner of any change requests within 2 weeks after provision via e-mail. NOTE: One correction run is included in the scope of services.
Further changes and/or changes communicated after this period are only possible against separate remuneration and will be charged additionally. These additional change requests also have to be checked in advance for feasibility and are subject to confirmation. If bindingly agreed, these will be implemented within a further 2 weeks.
If the service provided is not downloaded or otherwise used by the Client within 2 weeks of being made available for download, the service shall nevertheless be deemed to have been provided by Deutsche Messe in accordance with the contract and to have been accepted.
3. Payment terms
The prices are binding net prices in Euro plus statutory value added tax.
The settlement takes place with the service charge statement. This invoice is payable immediately, and without deduction, on receipt of the invoice.
In the event of late payment, we reserve the right to charge interest on arrears as from the due date.
4. Obligation of the Client to cooperate
Any templates/data required for the provision of the ordered service (e.g. for logo, company profile) shall be received by the Service Partner no later than the date specified by the Service Partner in order to ensure timely provision of the service. Data shall be provided in industry-standard file formats/codecs via download link (closed formats/files only, such as JPG, PNG, BMP, TIFF, GIF, MP4, MP3, WAV). The date for submission will be stated in the order confirmation.
Open project files such as AfterEffects, PremierePro, InDesign projects and/or files are not accepted.
If the data formats deviate from the specifications, Deutsche Messe shall be entitled to charge the Client additionally for the costs incurred in preparing the data – if possible.
The entire invoice amount is due even if the data is not delivered on time. Any additional costs incurred as a result of a delay will also be passed on by Deutsche Messe to the Client. If the Client fails to provide the required data within the specified time, Deutsche Messe shall not be obliged to perform the corresponding service of the contract after the fruitless expiry of a grace period.
All communication related to the booking request or the provision of services shall take place exclusively in German or English and between the Service Partner and the contact person designated by the Client.
5. Design reservation
Deutsche Messe reserves the right to refuse the production and publication of motifs or content that violate the legitimate interests of the Deutsche Messe Group or are unreasonable due to their content, origin or technical form. In this case, it shall be entitled to terminate the contract with respect to the affected services in whole or in part, without notice. The same applies in the event that the content of the ordered services violates laws or official regulations. In such cases, the Client shall not be entitled to any claims for compensation against Deutsche Messe.
6. Responsibility for the content/rights
If the Client provides Deutsche Messe with data, graphics, video files (e.g. intro/outro) or similar resources for use in the film to be created by the Service Partner, the Client shall be solely responsible for their content. The Client warrants and assures that it owns all rights necessary for the publication, does not violate applicable law and that the content is not subject to third-party rights.
The Client undertakes to indemnify Deutsche Messe and its Service Partner against any claims asserted against them and/or their own service partners by third parties on account of the content provided by the Client, e.g. on account of any infringement of an industrial property right/copyright, etc. The Client shall assume all costs incurred by Deutsche Messe AG and/or its Service Partner as a result of third parties asserting corresponding claims against them.
The Service Partner as the originator transfers to the Client the exclusive, irrevocable, spatially, temporally and factually unrestricted and transferable right to use the services provided in every possible type of use and all media, including currently unknown types of use and media, as well as to transfer them to third parties. The Client has the right to change, redesign or save the provided services itself or through third parties.
Excluded from this transfer of rights are any third-party materials used for the respective film, e.g. music titles and/or footage materials licensed for the film. If provided, these are licensed by the Client for use in the film, but all rights beyond this remain with the respective rights holders (e.g. copyrights, ancillary copyrights).
NOTE:
The filming of exhibits and exhibition items other than those of the respective Client is only permitted if this exhibitor or stand holder has declared its consent in writing in advance.
Insofar as the recording or the use of the recording requires the consent (approval) of the rights holder (e.g. owner of trademark or copyright), the written consent of the rights holder shall be obtained before the footage can be produced and used by the Client.
Insofar as persons are to be depicted, a legally binding (written) declaration shall be obtained from each person depicted, stating that he or she agrees to the use of his or her image in the original or in a non-derogatory or distorting, edited form in the advertising, and that he or she transfers all rights required in this respect to the exhibitor.
Obtaining the above declarations as well as any necessary clarification of further rights issues with regard to trademark and/or personal rights of third parties shall be the responsibility of the Client. The Service Partner observes the instructions of the Client regarding objects or persons to be filmed.
The Client shall ensure that no third-party rights are infringed by the depiction (filming) of the subjects that it has determined during the shooting, and the use of the recordings, so that in particular third-party copyrights, licensing rights or personal rights are protected.
7. Warranty
Deutsche Messe shall not be liable beyond the provision of the services owed by it for the achievement of the more far-reaching objectives pursued by the Client in entering into this contract.
Within the scope of the foreseeable requirements, Deutsche Messe guarantees the best possible production of the ordered service in accordance with the respective customary technical standard. The warranty does not apply to insignificant defects.
Deutsche Messe AG will make good any defects in the services provided by its vicarious agent (Service Partner), which the Client is obliged to report directly to Deutsche Messe AG in writing, to the extent that the purpose of the service has been impaired. In the event of definitive failure of the remedial action, the Client shall be entitled either to reduce the remuneration for the service in question or to withdraw from the contract. Deutsche Messe AG will endeavor to remedy insignificant impairments within a reasonable period of time.
Warranty claims are non-assignable and, in contrast to the statutory provisions, become statute-barred against companies after one year, unless Deutsche Messe is accused of intentional misconduct.
8. Liability
Claims for damages against Deutsche Messe are excluded regardless of the type of breach of duty, including tort, unless the damage was caused by intentional or grossly negligent conduct. Claims for lost profit, saved expenses or arising from claims for damages by third parties as well as other indirect consequential damages cannot be asserted.
In the event of a breach of material contractual obligations (cardinal obligations), Deutsche Messe shall be liable for any negligence up to the amount of the foreseeable damage typical of the contract, but not exceeding the price of the service concerned.
9. Early termination of the contract
A complete termination of the contract by the Client is possible up to 14 days before the agreed date of performance (1st day of shooting), free of charge. Thereafter, termination is excluded and the Client is obligated to pay the full invoice amount. This does not apply if warranty claims are asserted.
A change in the date of performance within the aforementioned deadlines will be handled accordingly.
Any termination shall be in made in writing in order to be legally effective.
10. Written form, statute of limitations, place of jurisdiction
All claims of the client against Deutsche Messe shall be made in writing. They shall become time-barred after 12 months, beginning with the end of the year in which they arose.
The law of the Federal Republic of Germany shall apply exclusively. The place of performance and jurisdiction is Hannover. However, Deutsche Messe reserves the right to assert its claims before the court of the place where the client has its registered office.

Only the prices shown on the order form or order screen on the day of the order apply. These are also listed in the confirmation of receipt of the order, which the exhibitor automatically receives immediately after placing his order.
