Purchase order terms for category Sponsoring VIP Events

1. General
By signing the offer, the client accepts the sponsoring conditions. These conditions apply exclusively. Any terms and conditions of the client that conflict with or deviate from these terms and conditions will not be recognized unless Deutsche Messe has expressly agreed to them.

2. Scope of services
Deutsche Messe offers the sponsor the opportunity to establish a positive connection between the appearance of his company, name, brand, products and services and the sponsored event or service. The individual services provided by Deutsche Messe are listed exhaustively in the offer.

3. Conclusion of contract
The contract between the customer and Deutsche Messe is concluded upon receipt by Deutsche Messe of the customer's signed declaration of acceptance. The date of receipt by Deutsche Messe is decisive for compliance with the acceptance deadlines stated in the offer (binding deadline).

4. Sponsorship amount, terms of payment
The sponsorship amount stated in the offer is binding and is subject to statutory value-added tax. The invoice for the sponsorship amount is payable immediately and without deduction after invoicing. Prior and full payment of the invoice amount is a prerequisite for presentation as a sponsor. In the event of late payment, the right is reserved to charge interest on arrears from the due date.

5. Obligations of the sponsor
The data required for the fulfillment of the sponsoring services (e.g. logo, company profile or advertisement for online and print media) must be received by Deutsche Messe no later than the respective submission date specified by Deutsche Messe. If the customer fails to provide the required data by the deadline, Deutsche Messe shall not be obliged to fulfill the corresponding service of the contract after the fruitless expiration of a grace period. The data must be provided in the file format described in the offer. If the data deviates from these specifications, Deutsche Messe is entitled to charge the customer additionally for the costs incurred in preparing the data. The full invoice amount will also be due in the event that the data is not delivered on time. Any additional costs incurred as a result of a delay will also be passed on by Deutsche Messe to the customer.

The client bears responsibility for the content and legal permissibility of the use of the image and text documents provided for the publications as well as its files accessible via a link. The use of third-party data requires their consent and is deemed to have been obtained by the client when ordering a sponsorship package. The client undertakes to indemnify Deutsche Messe against justified claims by third parties that are derived from the infringement of an industrial property right or copyright.

6. Non-exclusivity
The client acknowledges that Deutsche Messe may also conclude sponsorship agreements with other advertising companies on the occasion of the organized events and services, without any claims of any kind whatsoever being derived therefrom against Deutsche Messe.

7. Liability
Claims for damages against Deutsche Messe are excluded irrespective of the nature of the breach of duty, including tort, unless the damage was caused by intentional or grossly negligent conduct or the damage results from injury to life, limb or health. Claims for loss of profit, saved expenses or from claims for damages by third parties as well as other indirect consequential damages cannot be demanded.

In the event of a breach of material contractual obligations (cardinal obligations), Deutsche Messe shall be liable for any negligence up to the amount of the foreseeable damage typical of the contract, but not exceeding the price of the marketing service concerned.

8. Premature termination of the contract
Cancellation or termination of the contract by the client is excluded. Deutsche Messe is entitled to terminate the contract without notice up to two months before the start of the event if the implementation of the sponsored event or the sponsored service is not economically viable by this date due to an insufficient number of participants. In this case, any payments already made will be refunded, insofar as no counter-performance has already been made. Deutsche Messe is also entitled to terminate the contract if invoices have not been settled even after a reminder has been sent setting a reasonable deadline, if insolvency proceedings have been applied for or instituted against the customer's assets, or if the sponsor does not participate in the event as an exhibitor. In these cases, the claim to the agreed sponsorship amount shall remain in force, saved expenses shall be deducted.

9. Design reservation
In order to ensure optimum integration into the layout of the medium (e.g. stage, program booklet, website), Deutsche Messe is entitled to adjust the size and placement of the agreed logo representations accordingly. Deutsche Messe reserves the right to refuse the publication of motifs or content that contravene Deutsche Messe's legitimate interests or offend common decency and to terminate the contract without notice.

10.Written form, statute of limitations, place of jurisdiction
All claims of the customer against Deutsche Messe must be asserted in writing. They shall become statute-barred within 12 months, commencing at the end of the year in which they arose. The place of jurisdiction is Hanover. The contract is subject to the law of the Federal Republic of Germany.

Pricing terms for category Sponsoring VIP Events

Unless otherwise stated, prices are net prices plus statutory VAT.

Only the prices shown on the order form or order screen on the day of the order apply. These are also listed in the confirmation of receipt of the order, which the exhibitor automatically receives immediately after placing his order.

Cancellation terms for category Sponsoring VIP Events

The sponsorship fee referred to in the offer is binding and does not include VAT. The invoice for the sponsorship fee must be paid in full promptly upon receipt . Prior payment of the invoice amount in full is the prerequisite for the Client's presentation as a sponsor. Deutsche Messe reserves the right to collect default interest starting on the due date if there is a payment default.
